CALL TO ORDER
A meeting of Winterchase Board of Directors was held at 5050 Vail Drive on Wednesday December 20th at 8:00 PM. Attendees included Deborah Rogers, Mark Perdue, Connie Keller, Will Godfrey, and Greg Thompson (Parliamentarian).
APPROVAL OF MINUTES
The minutes from the BOD meeting held on November 21st were amended to include “The board does not agree with the listing of the Wachovia bank account by HMS. Greg and Deborah are assigned to resolve the issue”. This amendment will be placed in the financial section.
APPROVAL OF FINANCIALS
Financials were presented by Will and approved unanimously.
MOTIONS
A motion was made by Will and passed unanimously to make $3,000 end of year transfer to savings.
A motion was made by Deborah and passed unanimously to have the Welcoming Committee handle Facebook integration.
OLD BUSINESS
Will to look into pool contracts monthly vs annually to cut expenses.
A motion was made by Deborah and passed unanimously to hire Dorough & Dorough, LLC to update governing documents.
NEW BUSINESS
Website archives will be cleaned by Mark.
A motion was made by Deborah passed to hire Moore Ingram Johnson & Steele, LLP for options concerning relationship with HMS.

ADJOURNMENT
The next meeting of the BOD will be in January. The meeting was adjourned at 9:00 PM.
